Terms of Service

Effective: July 23, 2026

By using loveyducky you agree to these terms. loveyducky is an intermediary marketplace; it is not a party to transactions between users and does not handle payments (see §5).

1. What loveyducky is

loveyducky is a marketplace where users showcase software projects and sell their ownership to other users by auction or at a fixed price. We provide the listing, evaluation, and transfer-coordination environment.

2. Accounts & eligibility

You must be old enough to form a binding contract in your jurisdiction (at least 14 in Korea) and provide accurate account information. You are responsible for activity under your account and for keeping your credentials secure.

3. Acceptable use

Do not: list projects you do not own or cannot lawfully transfer; upload malware or infringing content; misrepresent a project or a transaction; abuse, defraud, or impersonate others; scrape or attack the service. We may remove content and suspend accounts that violate these terms.

4. Listing & selling

Only owners may list a project, and ownership must be verified before a sale. You represent that you have the right to sell what you list and to transfer the associated assets. Listings must be accurate.

5. Transactions between users

loveyducky is not a party to any transaction between users, and does not process, hold, escrow, or guarantee payments. Payment is arranged and settled directly between buyer and seller. Confirmations recorded on a deal (payment sent / received) are the parties' own statements; we record them, with deal messages, as evidence but cannot verify money movements and are not liable for losses from a transaction, including non-payment, misrepresentation, or failed transfers.

6. What is transferred

A completed deal is a project acquisition: the seller assigns the economic copyright and transfers the associated assets (repository ownership, brand/name, namespaces, accounts). Moral rights remain with the author under a covenant not to exercise them for the agreed uses. Licenses already granted for distributed versions are not revoked — the buyer acquires the official-owner position, not the right to withdraw existing users' licenses. The transfer agreement shown in each deal is a pre-legal-review draft; parties may supplement it with their own agreement.

7. Fees

loveyducky currently charges no transaction fee. If fees are introduced, they will be disclosed before they apply.

8. Moderation & disputes

Either party may open a dispute on an active deal. Moderators review disputes based on the recorded deal history and messages and may cancel deals, suspend accounts, or remove listings. Moderation is done in good faith and does not make loveyducky a party to the underlying transaction. False confirmations and failure to transfer after receiving payment are grounds for account action.

9. Disclaimers & limitation of liability

The service is provided "as is" without warranties of availability, accuracy, or fitness for a particular purpose. To the extent permitted by law, loveyducky is not liable for indirect or consequential damages, or for losses arising from transactions between users. Nothing here limits liability that cannot be limited under applicable law.

10. Termination

You may delete your account at any time, except while you have active auctions, bids, or deals in progress. We may suspend or terminate accounts that violate these terms. See the Privacy Policy for what happens to your data.

11. Governing law

These terms are governed by the laws of the Republic of Korea, without prejudice to mandatory consumer-protection rules of your home country that apply regardless. Disputes will be handled under the process stated at the time, and mandatory local rights are unaffected.

12. Changes

We may change these terms; material changes will be announced on the service and the effective date above updated. Continued use after a change means you accept it. This document is a pre-legal-review draft.
